Summary. These terms govern your use of SeedAPI. By creating an account or using our APIs, you agree to them. In short: use the Services lawfully, follow the messaging rules of the channels you send on (including WhatsApp), pay for what you use, and don't abuse the platform.
These Terms of Service ("Terms") are a binding agreement between you or the entity you represent ("Customer", "you") and SeedAPI ("SeedAPI", "we"). By accessing or using the SeedAPI website, dashboard, APIs, SDKs, plugins, or related services (the "Services"), you agree to these Terms and to our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Services.
SeedAPI provides software that enables businesses to send and receive messages across supported channels, including the WhatsApp Business Platform, together with related tooling such as a dashboard, message templates, and integrations. We may add, change, or remove features over time. Some features depend on third-party platforms whose availability and terms are outside our control.
You must provide accurate information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and API keys, and for all activity under your account. Notify us promptly of any unauthorised use. You must be legally capable of entering into these Terms and, where acting for a business, authorised to bind that business.
You are responsible for the messages you send and the data you process through the Services. In particular, you must:
When you use SeedAPI to send messages over the WhatsApp Business Platform, you also agree to be bound by Meta's applicable terms, including the WhatsApp Business Messaging Policy and related Meta policies. You are responsible for maintaining any business verification, display-name approval, and template compliance those policies require. We may suspend messaging that we reasonably believe violates a channel's rules, to protect the platform and other Customers.
You agree to pay the subscription fees and any usage-based fees described on our pricing page or in your order. Where messaging is billed by a channel provider (for example, Meta's per-message charges), those charges are billed to the account you connect, in addition to SeedAPI's platform fees. Our infrastructure fees, where applicable, are shown separately. Fees are exclusive of taxes unless stated; you are responsible for all applicable taxes. Late or failed payments may result in suspension.
Your use of the Services is subject to our Acceptable Use Policy, which prohibits, among other things, sending spam, unlawful, deceptive, or harmful content, and using the Services to violate the rights of others or the rules of any channel. Breach of that policy is a breach of these Terms.
We and our licensors own all rights in the Services, including software, documentation, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription in accordance with these Terms. You retain all rights in the content and data you submit; you grant us the limited rights needed to operate the Services and deliver your messages.
Our processing of personal data is described in our Privacy Policy. Where we process personal data on your behalf as a processor, we do so on your documented instructions and apply appropriate safeguards. You remain responsible, as controller, for the lawfulness of the data you send through the Services.
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted operation. We may perform maintenance, and third-party channels may experience their own outages. Support is provided through the channels described on our website.
The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that messages will always be delivered, as delivery depends on third-party channels and recipient settings.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Services is limited to the fees you paid to us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
You agree to indemnify and hold SeedAPI harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your content and messages, or your breach of these Terms or of any applicable law or channel policy.
You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Services in a way that risks harm to the platform, other Customers, or third parties, or that violates a channel's rules. On termination, your right to use the Services ends; provisions that by their nature should survive will survive.
These Terms are governed by the laws of the jurisdiction in which SeedAPI is registered, without regard to conflict-of-laws rules. The courts of that jurisdiction have exclusive jurisdiction, subject to any mandatory rights you have under local law.
